The reality is that whether our business is real estate, law, retail, technology or something else, most if not all of us have been touched by food allergies suffered by friends or family that can range from mild to deadly!
Mike was recently flying home from Arizona, when the flight attendant came on the loudspeaker to let the passengers know that there was someone on board with a life threatening allergy to peanuts.
A request was made that no one should take out any food that had peanuts associated with them in any way. Talk about putting faith and trust in a group of strangers while trapped at 35,000 feet!
Do You Ever Wonder? I did!
In the spirit of Do You Ever Wonder, he thought about how people with severe food allergies coexist in a world where food ingredients can often be surprising and, for some potentially dangerous and life threatening.
He decided to find an expert in the area, and fortunately knew one who agreed to come on as our guest.
Noreen Okarter, who grew-up suffering with a variety of severe and potentially deadly food allergies has become an expert in healthy living, and in making correct food choices with a specialty in severe allergies and autoimmune diseases.

Covid-19 Has Left Its Mark!
Since March 2020, pandemic, layoffs, work from home, quarantine, forced business closures, an eviction moratorium, non-payment of rent and the migration of individuals and businesses to other states, have all taken a toll on life in the big city!
And nowhere has that impact been greater than the commercial real estate market.
Today, with the wide distribution of the çoronavirus vaccine and NYC streets beginning to show some life, when all is said and done the ultimate impact of coronavirus on the commercial real estate market is hard to imagine.
Will businesses reopen, move to other parts of NYC, move out of NYC or maybe simply cut the space they need to use?
Will apartment tenants in the ‘city that never sleeps’ return in droves, trickle back or possibly remain wherever it was they were during the pandemic? And, what rents will they be willing to pay?
For those unfamiliar, commercial buildings are valued muçh differently than residential properties, with the quality of tenants, vacancy rate, length of lease and of çourse rent roll all critical factors in determining what a building may be worth. The net operating income (NOI) is a key number that comes out of the analysis (NOI, subtract all operating expenses incurred on a property from all revenue generated on the property).
Add into the mix the capitalization rate for a given area in a city or town and the approximate value of a building çan be determined by dividing the NOI/capitalization rate.
As a result, two exact commercial buildings that are side by side in a neighborhood çan have very different values.

Post-Covid? Given the variants that are emerging, we may not be there quite yet?
More likely, we are facing a world of mutations and moving targets.
In offices will masks be required or be an option? Will vaccination be mandated or will people have the option to decide not getting vaccinated? Will social distancing questions still exist?
These are only a few of the issues employees and employers will be facing as they make the slow return to the office!
Therefore a curious 'Do You Ever Wonder?' explores office security, as a potentially angry workforce returns from periods of isolation and separations to what some may consider to be a hostile work environment. These individuals may encounter rules that seem alienating, confusing that some may strongly disagree with. They may have co-workers who act in ways they may think are not only wrong but downright dangerous.
With an issue like Covid-19 that deals with illness, potential long-term effects and even in some circumstance death, patience and understanding around the office may be in short supply. This can lead to verbal and in some cases potentially physical conflict.

This show, with two special guests, explores the fact that in trying to help our American heroes who honorably served and now need help, the federal government offers no faith-based programs as a path towards healing.
This despite the fact that the tragic statistic of 20+ military veterans dying by suicide each and every day, has not changed over time.
In fact, over the past 10-years the Department of Defense and the VA have conducted 1,100 programs (none faith-based) that were working with PTSD and veteran death by suicide and the numbers have not changed.
At the same time 501(c)(3)'s that do utilize spirituality and reconnection to faith in their missions, have been overwhelmingly successful in saving lives!
Two Experts On Faith and Saving Lives!
Today's show features two experts on the subject of the utilization of spirituality and reconnection to faith as the methodology for saving veterans from death by suicide.
Heroes To Heroes Foundation's Judy Elias: Judy is the Founder of the nondenominational 501(c)(3) Heroes To Heroes Foundation. The Heroes To Heroes mission helps combat vets who return home suffering with moral injury, and it utilizes peer support, spirituality and reconnection to faith achieved through 12-member Team journeys to Israel. On this journey, these men and women find the strength to open up and begin the process of healing. To-date over 300 have come through the program, and all are with us beginning to live their lives again.
Dr. Steven P. Bucci, Visiting Fellow The Heritage Foundation: He spent 30-years as a member of the U.S. Army Special Forces and then as a visiting fellow at The Heritage Foundation focused on cybersecurity, military special operations, and defense support to civil authorities. He authored the article 'What Faith-Based Efforts Can Do To Help Prevent Veteran Suicide' in which he quoted New York Times author David Brooks who said that 'trauma is a moral and spiritual issue as much as a psychological or chemical one'. A panel that he chaired echoed the fact that military veteran death by suicide is currently a tragedy with a trajectory that is not going down.
So if the federal government won't utilize faith in its 'solutions' regardless of efficacy, then it will be up to NGO's to pick-up the slack.

Good Cause Eviction (GCE) AKA 'No Eviction Ever!'
For those New Yorkers not working in government, the concept of why a tenant may earn eviction from a rental unit seems somewhat clear. They may include non-payment of rent, behavior unbecoming a tenant or, at the discretion of the landlord, non-renewal of their lease. There are other reasons one might imagine too.
But if the Good Cause Eviction bill were to pass, it will become extremely difficult for a landlord to raise rent, choose not to renew a lease, and any number of other reasons why being a multifamily building owner may not be the road to building wealth it has always been considered!
Add to the mix the Housing Security & Tenant Protection Act of 2019 that put all kinds of financial prohibitions on owners, and finding a universe of potential building buyers may become increasingly difficult along with any ability for the owner to increase their buildings value!

Do You Ever Wonder What A 1031 Exchange Is? Meet 1031 Rob!

The 1031 Exchange - A Phenomenal Financial Planning Tool For Building Owners!
And this discussion with Rob Pecha explains it all!
Walking down the street in New York City, or in any city or town across America, there are commercial properties everywhere you look.
When the owners of those buildings sell, is it the best financial decision to take the proceeds and pay the taxes due? Or is there another way to defer those taxes, while investing the sales proceeds in 'like kind' properties?
Of course everyone's fiscal situation is different, but a 1031 Exchange presents the opportunity to continue to own property while benefitting from both the potential income it throws off and the potential for price appreciation.
And, if held onto until the owner eventually passes on, there is a step-up for heirs to the current market price.
If someone chooses to execute a 1031 Exchange, there are strict rules to be followed, or else a taxable event will occur. And in the process there is a need to use a fully vetted intermediary who will hold the sellers proceeds.
There are also alternatives to the outright ownership of another building(s), and that is through a passive 1031 Exchange known as DST's, or Delaware Statutory Trusts.
This style of 1031 Exchange eliminates the 3 T's of management - Tenants-Toilets-Trash!
DST's provide monthly income and the potential to participate in any appreciation. Here too, total vetting is critical because like in anything else, there are great operators and not-so-good ones.
All of that said, meet Rob Pecha, known as the '1031 Exchange Quarterback', who knows the 1031 Exchange business inside and out, and is a trusted advisor to a great many people.

AI and machine learning as tools in developing a life or exit plan? Can they actually be useful?
On some mechanical level, perhaps when it comes to potential format or calculation, AI can play some role.
But on a broader scale, until there is the potential for machine learning to understand and compute emotion, nuance, interpersonal relationships, and how these pieces are put together, in my mind AI will be just another tool in a planner's arsenal.

The delay occurred because of Cathy's involvement with the Multiple Sclerosis Society fundraising event at Belmont Park which brought in $600,000 of donations! Mike Haltman, whose mother suffered from MS, was thrilled to wait!
Cathy hails from Scotland about 15 minutes from the Old Course at St. Andrews, and she came to the United States in search of a career in finance, and then real estate finance.
And judging by the trajectory of Cathy's career, she has achieved incredible success in a relatively brief amount of time!
The conversation between Cathy and Mike traversed a wide range of subjects including CRE sector analysis, the current state of CRE deal financing, loan underwriting standards, the political landscapes impact on commercial real estate (i.e. Blue vs. Red), the impact of social media on the CRE industry, the importance of networking, podcasting and much more.
Specifically, they touched on subjects such as 421-a, Good Cause Eviction, and the Housing Stability and Tenant Protection Act of 2019.

Have Small NYC Multifamily Owners Been Screwed By The System? Do You Ever Wonder?

For 70%, What Happens When Rental Income = $0?
70% of multifamily building owners in New York City are not the 'fat cats' that many people think of when looking at the Super Tall apartment buildings now dotting the NYC skyline!
70% are considered 'small' owning one or two buildings, with under 50 units.
And then we have an owner like one of today's guests who came here from Britain and owns one rental unit on Staten Island. And, were it not for her incredible fortitude and work ethic, she would have lost that property.
Our two guests...
Meet Emily Barlow: A landlord of one unit with a tenant who did not pay rent and refused to vacate the property since 2019. Emily worked 100 hours a week to fulfill her obligations on the right side of the equation below and fought for eviction in a court system that tends to be very tenant-friendly.
Meet Ann Korchak: Ann is also the owner of a multifamily building in Manhattan that has been affected by the overall political, legislative, court, and Covid mandates enacted by NYC and NYS. Ann is also the President of SPONY, the Small Property Owners of New York which is an advocacy group with about 600 members.
The Simple Multifamily Formula
Rent - Expenses = Net Operating Income (NOI) Mortgage Insurance Utilities Taxes Maintenance
So what happens to landlords like Emily when the rent becomes $0 and yet the expenses still need to be paid or else the building could be lost?
Certainly, during Covid some help was available for some through programs like ERAP (Emergency Rental Assistance Program), but in many ways, she was on her own.
Owner Headwinds
Legislative: Laws that seem benign and good for tenants may ultimately work in reverse if building conditions are allowed to decline. One law that comes to mind is the NYS 2019 Housing Stability & Tenant Protect Act which put serious restrictions on owners vis a vis rent increases and benefits for doing renovations on apartments and common spaces. Another, for buildings greater than 25,000 sq. ft., is NYC Local Law 97. Good Cause Eviction being bandied about in Albany is another piece of legislation that would be detrimental for owners (Do You Ever Wonder spoke with Alexander Lycoyannis about Good Cause Eviction here https://youtu.be/1qlQwRabW54?si=2mbs1VHpkOQe2dN8).
Political: For politicians in New York State and New York City who will typically pander to one side or the other in a conflict/dispute, there are many more tenants than there are landlords giving some clue to which side of the argument they will be on.
COVID-19: Rent/eviction moratoriums were necessary for some, but for the landlords their bills (see above) still had to be paid!
Courts: Actually trying to evict whether during Covid or at any other time, the courts tend to be very tenant-friendly.

The competition office building owners face due to 14 million square feet of new modern office space soon to be on the market, but at the same time, the benefit of 1/2 the office space in New York City being obsolete.
All of this in the face of an office vacancy rate in NYC of 22.7% in August.
BGO has been using the concept of MIRO to deliver pre-builts that are “tech- and hybrid-enabled, emphasizing human-centric design to encourage adaptability, wellness, and collaboration.”

Father Peter Pomposello...Priest, Paratrooper, and Pathfinder! Do You Ever Wonder?
Starting his career in the Reserve Officer Training Corps and as a schoolteacher, Father Peter spent much of his time at Our Lady, Queen of Peace on Staten Island, and at the age of 28 decided to dedicate his life to serving the Lord in the Eucharist.
Now he has been in the Army for 8 years as a priest first and a soldier second! However getting to the Archdiocese for the Military Services in the first place required the permission of his bishop, Cardinal Timothy Dolan who graciously gave it to him.
He has been deployed to combat zones in Iraq and Syria, and has jumped out of planes with paratroopers in Alaska.
In his far-reaching role in the Army, Father Peter has also had to say prayers for soldiers who died in combat, blessing their bodies before they made their ‘angel flight’ home to their family and loved ones for their funerals.
Father Peter also serves the U.S. Army in the role of priest recruiter. His mission is to bring more Catholic priests and seminarians to serve as chaplains in the Army and Army Reserves.
Currently, only 90 priests are serving in the military, with another 310 needed.
The conversation touched many subjects, not the least of which is the current conflict between Israel and Hamas, coupled with the severe moral injury likely being experienced by a great many soldiers.
This subject led us to the Heroes To Heroes Foundation, where podcast host Michael Haltman serves as Board Chair. HTH deals with U.S. soldiers suffering moral injury, with Team journeys to Israel a key part of the mission's success.

We had the opportunity to speak with Steven Bucci on the subject, a man who is uniquely qualified to opine based on his incredible government and military resume...
U.S. Army Colonel (ret), spending 28-years in the Special Forces,
Cybersecurity expert in the private sector with companies such as IBM and the U.S. Chamber of Commerce,
Deputy Assistant Secretary of Defense in the George W. Bush administration,
Military Assistant to Secretary of Defense Donald Rumsfeld,
Currently a security consultant in the private sector, and a Visiting Fellow at The Heritage Foundation leading the Foreign Policy, Homeland Security, and Defense Team.
In other words, Steven Bucci is an expert and completely fluent in the areas of homeland security, defense, cybersecurity, terrorism, and geopolitics.
Prior to our discussion we had a list of nine global issues to speak about but, because we were constrained by time and still went to 42 minutes, we barely got through four of them.
The first topic, given that Steven Bucci is a former Deputy Secretary of Defense, is a discussion concerning the disappearance of Secretary of Defense Lloyd Austin at a time when the world is on fire!
We spoke about the old cliche of 'What keeps you up at night' given the plethora of issues facing the United States and the world.
Of course the southern border was discussed, given the fact that it is an open portal for anyone in the world who wants to cross over. This means it's an issue of incoming deadly drugs, potential diseases, people with criminal records, and individuals on the terror watch list. Not to mention the human tragedy facing women and children.
We spoke about the crisis in the Middle East centered around Israel, and whether leadership in the U.S. is sending the right message with our military reaction.
The last subject that we spoke about is the potential for the U.S. energy grid to be shut down by cybercriminals or an EMP attack.

A Charity Working To Help Cubans Living In Poverty!
'According to a 2022 report from the Cuban Human Rights Observatory (OCDH), 72 percent of Cubans live below the poverty line. 21 percent of Cubans who live below the poverty line frequently go without breakfast, lunch or dinner due to a lack of money.'
And while many people in America are suffering in much the same way, for Cubans who have come to the U.S. the plight of their brethren who remain in Cuba is often top of mind!
Enter Chazz Menendez who came to America in 1963 with his pregnant mother, as the still unborn child she was carrying.
Chazz, in the spirit of giving back to the United States volunteered on the World Trade Center pile for two days, September 12th and 13th 2001.
After adopting two sons, he was forced to retire from his career as a stunt man due to WTC pile-induced Stage 4 brain cancer.
But wanting to give back to Cuban citizens living in poverty, he recently founded the charity SupportCubans.Life with the tagline 'People Caring For People'.
In it, Chazz describes what SupportCubans.Life does, and how you can help.

New York City's Population Is Dropping 2.49% Annually!
That's a big number with the percentage change from 2020-2024 sitting at 9.26%
We know that the reasons for leaving range from cost of living, crime, overall quality of life, and most certainly, the invisible hand of state and local governments taking an ever-growing amount of money from us through taxes.
So where are these former New Yorkers going? Many are going to states with more reasonable taxing policies including Florida, Texas, Washington, Wyoming, Tennessee, Alaska, South Dakota, and New Hampshire.
But establishing citizenship in another state is not as easy as living there, with serious proof, for 6 months and a day per year.
These state governments facing a loss of population do not take the situation lightly, and will jump through hoops to disprove your new domicile claim.
You Need To Consult With An Expert!

In our conversation Marisa and I touched on many subjects surrounding the emigration to other states, along with what has to be proven to the auditors so that no demand for taxes is made.
Change of domicile...
The burden of proof falls on the taxpayer, not the government, and for New York State five primary factors need to be proven for the domicile to be considered changed...
Home: An auditor's examination of an individual's "home" will consider the person's use and upkeep of their New York residence in comparison to their residence outside of New York. When a taxpayer purchases a new home in another state and maintains multiple residences, including at least one in New York, this factor becomes more complex to assess. In ambiguous cases, an auditor will evaluate the use of multiple homes based on the following criteria: (a) size of the residence; (b) value of the residence; (c) nature of use; and (d) other relevant home features.
Active Business Involvement: Taxpayers who are heavily involved in or have substantial investments in a New York trade, business, occupation, or profession will find this factor challenging during an audit and should prepare accordingly.
Time: This factor involves analyzing where and how an individual spends their time throughout the year, comparing the time spent in New York with the time spent elsewhere.
Items of Sentimental Value: This primary factor seeks to identify the location of items with significant sentimental value, such as family heirlooms, artworks, book collections, and personal items that enhance quality of life.
Family Connection: Due to its intrusive nature, the "Family Connection" factor is only considered when the first four primary factors do not clearly and convincingly indicate the taxpayer's intent. This factor generally focuses on the taxpayer's immediate family, such as a spouse or partner and any minor children. A key element is the location of the schools attended by the taxpayer's minor children.

'Growing up, my brother and I were like a dynamic duo out there. We both would end up joining the military. I enlisted in the Air Force in ‘99 and Adam joined the Marine Corps in 2006. For the longest time, we were each other’s best friends. It’s like he was that person that was just connected to me all of the time.
By 2012, he was struggling through a crisis with the Marines due to some things he experienced in combat, along with medical issues. It would eventually lead to his departure from the military. He struggled a lot with the transition.
I was halfway around the world in Afghanistan with my deployment about to be wrapped up when Adam first attempted suicide. I got a call and immediately departed Afghanistan to my home in Las Vegas where I met my newborn son for the first time. We then drove together to San Diego to visit my brother in the ICU. We didn’t quite know if Adam was gonna make it.
For years after, Adam continued to struggle. Then, in 2017, I received a text from my stepmother. She's like, hey, I need you to call me as as soon as possible.
And that's when I found out my brother had died by gun suicide. It took me a long time to deal with losing my brother. And in the year that followed, several other Veterans that I was friends with died by gun suicide, as well. I was probably naive in getting the right help that I needed at the time. I knew all the resources. I think it was the shock of it all which was there for quite some period of time, where I’m like, “Oh, I’m strong enough. I can go back to work.” I coped with it initially with work and alcohol.
Eventually, I cracked. And that’s what led me into some some bad decisions and some legal issues of my own.
And that's where my story of having the firearm locked up probably ended up saving my life.'

Beyond the spike in building expenses, limitations on the recouping of renovation costs and restrictions on increasing revenue due to legislation such as the 2019 Housing Stability and Tenant Protection Act, buildings have to face unexpected and often extremely large expenditures brought on by regulations imposed by NYC such as Local Law 97 that mandates carbon neutrality by 2050.
Issues Facing Multifamily Buildings
Expenses: On the expense side, the cost of every building input like utilities, insurance, and taxes has risen dramatically.
So too have the number of capital projects, maintenance costs, and payroll expenses.
Add to the mix all of the NYS and NYC regulations that will bring higher costs to the building owner and residents.
A perfect example is Local Law 97 (LL97) which requires buildings larger than 25,000 square feet to be carbon-neutral by 2050, but that imposes immediate requirements.
Income: Limitations onrent increases in NYC are well-known, and now President Biden has proposed legislation which would 'require large and midsize landlords to cap annual rent increases to no more than 5%. In addition, the recently implemented Good Cause Eviction will hinder a landlord from removing a tenant or deny a lease renewal without a court order.

This discussion with Jonathan systematically convinced Do You Ever Wonder host Mike Haltman that his long-held beliefs about investing and portfolio structure were wrong.
In other words, the traditional 60/40 stock/bond portfolio adjusted over time becoming even more bond-heavy as investors age, falls short of meeting most long-term financial goals.
Why? Because the investor is going to lose what really matters...Purchasing Power!
According to Jonathan, for an investor to maintain purchasing power over time, including throughout their retirement years, a portfolio should be close to 100% stocks.
Although stocks are volatile and each year will at some point decline, (some years more than others i.e. the tech bubble, 9/11, 2008 Financial Crisis), regardless of the reason for those declines stock indexes have historically continued to move higher and beat the inflation rate by a significant amount.
And, dividends have continued to grow.
In other words, because stock prices increase over time despite short-term volatility and dividends continue to grow, an investor will preserve their purchasing power.
But it's the volatility, despite being short-term in nature, where managing investor BEHAVIOR becomes key!
First, Consider HowBonds Are The Nemesis Of Maintaining Purchasing Power
Traditional investing would include buying a bond, in this example a 30-year bond with a 5% coupon (use $1MM invested). Each year the investor will receive $50,000 and at the end of the 30 years get the $1MM back.
But because that $1MM in principal has not grown, and the income generated has remained the same, inflation has seriously impacted Purchasing Power!
This concept about bond avoidance and the inadequacy of the traditional bond/stock portfolio mix runs counter to most investors' emotional need to protect their principal.
But sitting with Jonathan Blau and listening to his investing and portfolio structure thesis, Do You Ever Wonder host Mike Haltman became a believer! Because it made perfect sense!
Investor Behavior Can Impede Investing Success!
Although preserving purchasing power is absolutely critical, it runs into the powerful impediment of investor behavior and psychology that focuseson a desire to preserve principal.
Why? Because of the ingrained desire of most investors to preserve principal despite the fact that it's destroying purchasing power.

Commercial Real Estate Loans For The Imperfect New York Borrower!
The A Borrower
For the Classic A borrower that goes to the bank for a loan, either a refinance or money for a commercial real estate purchase, all of their ducks will be in a row. Their credit score is high, they have money in the bank and the building in question is in great shape in terms of both occupancy and revenue. Net operating income justifies the loan amount and the debt service coverage ration (DSCR) that's calculated for the loan is right in the banks sweet-spot! It's an underwriting slam dunk!
The Imperfect Borrower
Particularly now in the age of Covid-19, both borrower and building may unfortunately be dinged-up! The potential borrower's FICO score and asset base likely have been negatively impacted, while the building in question that was solid pre-pandemic, has lost tenants or has tenants in place who aren't paying. Still, it's a great building with much potential.
In many scenarios like the one above and others, there are ways for The Imperfect Borrower to get a loan. They simply need to be speaking with a commercial finance professional who takes the time to get to know both the people involved and the back story of the loan scenario. The professional will quickly learn why the borrower is being shutout from the lenders only looking for A-loan scenarios and what some alternative solutions may be. And the alternative loans are not 'hard money' in the classic sense, but would be in the neighborhood of 1% or so higher than the A financing.
